By accessing or using Adstia's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Adstia provides performance marketing services, including but not limited to:

  • Lead generation campaigns
  • Creative services and content production
  • Performance analytics and reporting
  • Marketing automation setup and management
  • Growth strategy consulting
  • Paid advertising management

3. User Accounts

3.1 Account Creation

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Service Agreements and Payments

4.1 Service Fees

Service fees are specified in your individual service agreement. All fees are non-refundable unless otherwise stated in your agreement.

4.2 Payment Terms

  • Invoices are due within the timeframe specified in your agreement
  • Late payments may incur additional fees
  • We reserve the right to suspend services for non-payment
  • You are responsible for all applicable taxes

4.3 Ad Spend

For paid advertising services, you authorize us to manage advertising spend on your behalf. You are responsible for all advertising costs incurred on your campaigns.

5. Intellectual Property

5.1 Our Property

All content, features, and functionality of our services are owned by Adstia and are protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of content you provide to us. By providing content, you grant us a license to use, reproduce, modify, and distribute it for the purpose of providing our services.

5.3 Work Product

Creative assets, strategies, and other deliverables created specifically for you become your property upon full payment, unless otherwise specified in your service agreement.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of our business relationship. This obligation survives termination of the agreement.

7. Warranties and Disclaimers

7.1 Our Commitment

We will provide services with reasonable skill and care in accordance with industry standards. However, marketing results can vary and are influenced by factors beyond our control.

7.2 No Guarantees

We do not guarantee specific results, including but not limited to ROI, conversions, or revenue. Past performance does not guarantee future results.

7.3 Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied.

8. Limitation of Liability

To the maximum extent permitted by law, Adstia shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or data
  • Damages exceeding the fees paid to us in the preceding 12 months

9. Indemnification

You agree to indemnify and hold harmless Adstia from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

10. Termination

Either party may terminate services according to the terms specified in the service agreement. Termination does not relieve you of payment obligations for services already rendered.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
